Podibytes – AI Creative Agency
1. Introduction
Welcome to Podibytes. These Terms and Conditions (“Terms”) govern your use of our services, including AI-powered ad creatives, video production, animations, and branding assets (the “Services”). By engaging Podibytes, you (“Client”) agree to these Terms.
2. Services
Podibytes provides creative services enhanced by artificial intelligence technologies. Services are delivered based on agreed project scopes, timelines, and specifications. Any additional work outside the agreed scope may incur additional fees.
3. Client Responsibilities
The Client must provide accurate information, brand guidelines, content, and assets required for project delivery.
The Client warrants they own or have the rights to all materials provided to Podibytes.
The Client grants Podibytes permission to process such materials with third-party tools where necessary for service delivery.
4. Fees and Payment
Fees will be outlined in a written proposal or invoice.
Payment is required either upfront or via invoice as agreed.
Late payments may incur interest at 4% above the Bank of England base rate.
Work will not commence until payment terms are met.
5. Revisions and Deliverables
Podibytes offers revisions as specified in the proposal. Excessive revisions or changes outside the original scope may result in additional charges.
6. Intellectual Property
Upon full payment, the Client will own the final deliverables.
Podibytes retains the right to use completed works in portfolios and promotional materials unless the Client expressly objects in writing.
Any underlying AI models, workflows, or tools remain the property of Podibytes or its licensors.
7. Use of Third-Party Tools
The Client acknowledges that Podibytes may use third-party platforms, AI models, and software in producing deliverables. Podibytes is not liable for limitations or changes made by such third parties.
8. Confidentiality
Both parties agree to keep confidential all proprietary information shared during the engagement, except where disclosure is required by law.
9. Liability
Podibytes shall not be liable for indirect, incidental, or consequential damages.
Total liability under these Terms shall not exceed the total fees paid by the Client.
While Podibytes strives for originality, the Client acknowledges that AI-generated content may resemble third-party material, and Podibytes makes no warranties of uniqueness beyond industry standards.
10. Termination
Either party may terminate the agreement with written notice. The Client remains responsible for payment of work completed up to the termination date.
11. Governing Law
These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
